Terms of Service

1. Acceptance of Terms

By accessing or using the Price That Watch website, account features, API, portfolio tools, alerts, billing flows, or related services (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Price That Watch provides informational luxury watch market valuation tools. The Service may include website searches, API access, image-assisted watch identification, portfolio tracking, price alerts, subscription management, and account features.

We may change, suspend, or discontinue parts of the Service as we improve the product, respond to vendor or marketplace changes, comply with legal requirements, or protect the Service.

3. Accounts and Authentication

You may create an account using email and password or supported third-party authentication such as Google sign-in. You are responsible for keeping your account credentials secure and for all activity under your account.

You must provide accurate account and billing information and keep it up to date. We may send account, security, verification, billing, and service-related messages to the email address associated with your account.

4. API Keys, Usage, and Rate Limits

Your use of the API and valuation endpoints is subject to the rate limits associated with your plan:

Usage is measured on a rolling weekly window unless the Service states otherwise. Requests that exceed your plan limit may receive an HTTP 429 response. Batch, image, or other multi-step operations may consume more than one request.

API keys are non-transferable and must not be shared publicly. You are responsible for all activity under your API key. You may not create multiple accounts, rotate keys, use automation, or otherwise attempt to avoid limits, billing, or abuse controls.

5. Subscriptions, Billing, and Taxes

Paid subscriptions are billed through Stripe and renew automatically until cancelled. By starting a paid subscription, you authorize Stripe and Price That Watch to charge the applicable fees, taxes, and any permitted adjustments for your selected plan.

Plan changes, upgrades, downgrades, prorations, invoices, failed payments, and payment method updates are handled through Stripe and may be subject to Stripe's billing behavior. Prices, plan names, plan limits, and features may change prospectively, but any material change to an existing paid plan will be handled with reasonable notice where required.

You are responsible for any taxes, duties, or similar charges that apply to your purchase, except taxes based on our income.

6. Cancellation, Downgrades, and Account Deletion

You may cancel a paid subscription from your Account page or the Stripe billing portal. Unless the cancellation flow states otherwise, cancellation takes effect at the end of the current billing period and paid access continues until then. After the period ends, the account is downgraded to the applicable free access level.

No refunds are issued for partial billing periods unless required by law or expressly stated in writing. Downgrades and plan changes may affect available features, request limits, portfolio tools, alerts, and API access.

If you delete your account rather than merely cancelling a subscription, your API key may be revoked immediately, active subscriptions may be cancelled, and account data will be handled according to our Privacy Policy.

7. Valuation Data and No Professional Advice

Price estimates are derived from available third-party marketplace data, automated processing, and related signals. They are provided for informational purposes only and are not professional appraisals, investment advice, financial advice, insurance advice, tax advice, authenticity guarantees, or purchase or sale recommendations.

We do not guarantee the accuracy, completeness, timeliness, availability, or reliability of any valuation, market data, authenticity indicator, image identification, alert, portfolio metric, or other output. Actual transaction prices may vary significantly because of condition, provenance, service history, accessories, seller reputation, market timing, fees, taxes, and other factors.

8. Portfolio Tools and Price Alerts

Portfolio tracking and price alerts are convenience features only. Alerts may be delayed, missed, inaccurate, or unavailable, and portfolio values may differ from actual resale value. You remain responsible for your own decisions and recordkeeping.

9. Third-Party Services and Data Sources

The Service may rely on third-party services and data sources, including Stripe for payments, Google for supported sign-in, analytics and infrastructure providers, marketplace data sources, email providers, and other vendors. Third-party services may be subject to their own terms and privacy policies.

We do not control third-party marketplaces or guarantee that third-party data, integrations, or services will remain available.

10. Prohibited Uses

You may not use the Service to:

Violations may result in throttling, suspension, termination, key revocation, or denial of refunds where permitted by law.

11. Intellectual Property

We and our licensors own the Service, including software, design, branding, documentation, compiled data, and other protected materials. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your own internal or personal purposes.

You retain ownership of information you submit to the Service, but you grant us the rights needed to host, process, analyze, display, and use that information to provide, secure, support, and improve the Service.

12. Suspension and Termination

We may suspend or terminate access if we believe you violated these Terms, created risk for the Service or other users, failed to pay amounts due, used the Service abusively, or if required by law or a third-party provider.

Termination may result in loss of access to API keys, account features, portfolio data, alerts, and paid features. Sections that by their nature should survive termination will survive, including payment obligations, restrictions, disclaimers, liability limits, and intellectual property provisions.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR RELIABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICE THAT WATCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, TRADING LOSSES, PURCHASE OR SALE DECISIONS, OR SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) US$100.

15. Indemnity

You agree to defend, indemnify, and hold harmless Price That Watch from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your submitted content, your violation of these Terms, your violation of law, or your infringement of third-party rights.

16. Changes to Terms

We may modify these Terms from time to time. If a change is material, we will make reasonable efforts to provide notice. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

17. Governing Law and Disputes

These Terms are governed by the laws applicable where Price That Watch is organized or primarily operates, without regard to conflict-of-law rules, unless a different law is required by your jurisdiction. Any dispute will be handled in the courts with jurisdiction over that location unless applicable law requires otherwise.
